Mr. Schaeffer's primary practice areas are corporate and commercial law, with an emphasis on general corporate representation, mergers and acquisitions, transactional matters including investments in or financing provided by primary and secondary lenders, secured transactions, asset based and receivable financing, corporate buy-outs; representation of shareholders, directors and officers in relationship to their duties and rights in and to the corporation, employment agreements and general corporate agreements. In addition thereto and in connection with such corporate representation, Mr. Schaeffer has experience in sophisticated real estate transactions including commercial leasing, purchase and sale of commercial property, real estate swaps and financing arrangements related thereto. Moreover, Mr. Schaeffer has extensive litigation experience in both State and Federal Courts representing his corporate clients and individuals in a wide variety of matters stemming from business related issues, including employment litigation, majority and minority shareholder's rights, dissolutions, claims by or against officers and directors for fraud, malfeasance and waste, breach of contract, non-payment of receivables and claims of third party lenders. With over 30 years of experience in private practice and having served as Law Secretary to the Honorable Duncan S. McNabb in the Supreme Court, State of New York early in his career, Mr. Schaeffer brings a wealth of experience to his clients.
